Terms and Conditions

Application

The provision of Services by BLEUNO GROUP LTD ("Bleuno") to the Client is governed by these Terms and Conditions ("Terms and Conditions").

In the event of any discrepancy between these Master Services Terms and Conditions and the Insertion Order, the Insertion Order shall prevail.

In these Master Services Terms and Conditions, unless the context otherwise dictates, the following shall have the following meanings:

Affiliate: With respect to any party, any entity that directly or indirectly controls, is controlled by, or is under common control of such party from time to time.
Agreement: The agreement entered between both arrays that contain the Insertion Order accompanied by these Master Services Terms and Conditions.
Bleuno: This refers to BLEUNO GROUP LTD, registered in England and Wales.
Client: Refers to a firm, individual, or corporate body that buys goods or services from Bleuno.
Services: The services that Bleuno will provide to the Client that were outlined in the Service Schedule of the Insertion Order.

The Client appoints Bleuno as its exclusive provider of Services, which in turn agrees under these terms.

The Client agrees to pay applicable Fees, which is necessary for the delivery of Services by Bleuno from the agreed Live Date;

The details related to the services will be indicated in the relevant insertion order.

The Client is obliged to work with Bleuno, provide accurate and timely materials and abide by all laws applicable.

Without Bleuno's authorization, the Client cannot use the Competitor's service which is alike.

The fees incurred will be paid by the client, and the client is responsible for the expenses as outlined in the Insertion Order.

The client will get invoices as specified in the Schedule approved by us, and the client will be required to pay them during the Invoice period.

Interest charges will be added if payments are received late.

The parties agree that they will keep sensitive information confidential, with the exceptions listed in this clause.

Bleuno is the owner of the data collected on behalf of the Client, and clients must comply with Data Protection Legislation.

The Client is the owner of the IP but grants Bleuno a license to use it for service delivery purposes.

The two parties can terminate the Agreement according to the termination clauses specified in this clause.

After termination, the remaining dues must be paid, and all licensed materials must be returned or stopped.

Bleuno may sub-contract any service delivery but is liable for the work done.

The Client will not at any time during the agreement and for a period after termination solicit Bleuno's employees or contractors.

Bleuno thus has no liability except as already laid out, unless there was fraud or personal injury caused by negligence.

Neither party shall be liable for any delays or failure in performance with the events which are beyond their reasonable control.

Notices that's sent under the agreement should be in writing to the contact information provided in the agreement.

Any disputes will be settled by negotiating, mediating, or legal process as contained in this agreement.

This Agreement is the whole agreement between the parties, and it overrides the previous agreements.

This Agreement shall be opened and interpreted following the laws of England and Wales.

All disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
